1. Who we are

Contract Companion (the "Service") is operated by HKConsulting("we", "us", "our"). By creating an account or using the Service you ("you", "User") enter into a binding agreement with HKConsulting.

2. Acceptance of terms

By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

Contract Companion is a web-based application that helps small businesses track contracts, vendors, renewals and recurring spend. We do not guarantee that the Service will be uninterrupted, error-free, or fit for any particular purpose, and we disclaim all implied warranties to the fullest extent permitted by law.

4. Accounts and acceptable use

You must:

  • Provide accurate registration information and keep it up to date.
  • Keep your account credentials confidential. You are responsible for all activity under your account.

You must not:

  • Use the Service for any unlawful, fraudulent, infringing or abusive purpose.
  • Send spam, malware, or content that infringes the intellectual property of others.
  • Probe, scan, scrape, reverse-engineer, or interfere with the security or integrity of the Service.
  • Resell, sublicense, or redistribute the Service without our written consent.

5. Intellectual property

HKConsulting retains all right, title and interest in the Service, including all software, documentation and branding. You retain ownership of the contract data you upload; you grant us a limited license to host and process it solely to provide the Service to you.

6. Payments, subscriptions and billing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Checkout Buyer Terms.

Paid plans renew automatically each billing period until canceled. You can cancel any time from the in-app billing page or the Paddle customer portal; access continues until the end of the current paid period. See our Refund Policy for refund terms.

7. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay for the Service, present a security or fraud risk, or repeatedly violate our policies. On termination, you may export your data for a reasonable period before it is deleted.

8. Limitation of liability

To the fullest extent permitted by law, HKConsulting's aggregate liability arising out of or relating to the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death or personal injury where excluding it would be unlawful.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
